1. About This Agreement
These Terms and Conditions ("Terms") govern your access to and use of the MFI PRO lending management platform ("Platform"), operated by Debug Dynamics Solutions ("we", "us", or "our"), a company registered in Kenya.
By signing up, accessing, or using MFI PRO, you ("Institution", "you") agree to be bound by these Terms. If you do not agree, do not use the Platform.
2. Platform Usage & Account
- You must provide accurate and truthful information during registration. Misrepresentation is grounds for immediate account termination.
- Each registered account is for one institution only. You may not share login credentials with other institutions.
- You are solely responsible for all activity under your account, including activity by your staff users.
- You agree to keep your credentials secure and notify us immediately of any unauthorized access.
- We reserve the right to suspend or terminate accounts that violate these Terms, are inactive for extended periods, or engage in fraudulent, abusive, or unlawful activity.
3. Trial Period & Subscription
- New registrations may receive a limited free trial period (typically 14 days) as indicated at time of signup. Trial access is subject to change without notice.
- After the trial, continued use requires a paid subscription at the applicable tier rate.
- Subscription fees are non-refundable unless otherwise agreed in writing.
- We reserve the right to modify pricing with at least 30 days' notice.
- Manual invite-only: Access to MFI PRO requires review and approval by our team. Submitting a signup form does not guarantee immediate access.
4. Data & Privacy
- You retain ownership of all data you input into the Platform (customer records, loan data, payments, etc.).
- We will process your data solely to provide the Platform services and will not sell or share it with third parties without your consent, except as required by law.
- You are responsible for ensuring you have lawful grounds to collect and process the personal data of your customers (borrowers) in compliance with applicable data protection laws, including the Kenya Data Protection Act, 2019.
- We implement reasonable technical and organizational security measures to protect your data.
- You agree to indemnify us against any claim arising from your failure to comply with data protection obligations toward your customers.
5. Acceptable Use
You agree not to use MFI PRO to:
- Conduct any activity that is illegal under Kenyan law or international regulations.
- Facilitate predatory lending, money laundering, or financial fraud.
- Attempt to reverse-engineer, copy, or distribute any part of the Platform.
- Use the Platform to harass, threaten, or harm individuals.
- Upload malicious code or interfere with platform operations.
6. Liability Limitations
- MFI PRO is a software tool. We do not make lending decisions, approve loans, or take responsibility for your institution's financial decisions.
- We are not liable for any direct, indirect, incidental, or consequential losses arising from use of or inability to use the Platform.
- Our maximum liability to you shall not exceed the total fees paid by you in the three months preceding the claim.
- The Platform is provided "as is". We do not warrant that it will be error-free or uninterrupted at all times.
7. Intellectual Property
All Platform code, design, trademarks, and content are owned by Debug Dynamics Solutions. You are granted a limited, non-exclusive, non-transferable license to use the Platform for your internal business purposes only.
8. Changes & Termination
- We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance.
- Either party may terminate this agreement with 30 days' written notice.
- Upon termination, you may request an export of your data within 14 days. After that, data may be permanently deleted.
9. Governing Law
These Terms are governed by the laws of Kenya. Any disputes shall be resolved in the courts of Nairobi, Kenya.
